These terms and conditions constitute a legally binding agreement (the "Agreement") between you (also referred to herein as "You," "Your," or "User") and Punk Royale ("we," "us," or "our"), which governs your purchase of a Punk Royale Ordinal Inscription associated with Punk Royale and/or any other Ordinal Inscription or NFT owned and/or offered by us.

By participating in the Punk Royale offering, you acknowledge that you understand this Agreement and accept all of its terms. If you do not agree to be bound by the terms and conditions of this Agreement, you must not participate in the offering.

Definitions

"Punk Royale Artwork" means any art, graphics, images, designs, logos, taglines, drawings, or other pictorial or graphic work of authorship that may be associated with your purchased Ordinal Inscription, which can be cryptographically identified through the Bitcoin Blockchain. An Ordinal Inscription refers to one Satoshi on the Bitcoin Blockchain that has been inscribed with a unique piece of digital art.

"Punk Royale" means the creators who originally inscribed the Punk Royale Ordinal Inscriptions as displayed on this website and any associated platforms, artwork, materials, distribution methods, and/or accounts owned and controlled by the creators.

Ownership

The name and intellectual property involved in Punk Royale are owned by us. All rights that are not specifically granted to the users and owners of Punk Royale are reserved by us. This includes but is not limited to the intellectual property rights surrounding the images, names, logos, design files, trademarks, the website, the ability to mint future versions of Punk Royale, the look and feel of the user interface, the smart contract code, or anything else not specifically granted by any following licenses.

Rights

You may use your Punk Royale Artwork for any of the following purposes:

Personal Use:

Storing your Punk Royale Artwork.
Copying or displaying it for personal enjoyment.
Using it as a profile picture or avatar on social media.
Selling or transferring ownership of your Punk Royale Ordinal Inscription.

Commercial Use:

You may use your Punk Royale Artwork for limited commercial purposes, provided that such use complies with the terms outlined below.

Commercial Use

You are permitted to use your Punk Royale Artwork for commercial purposes under the following conditions:

Permitted Use:

You may produce and sell merchandise that displays your Punk Royale Artwork, limited to total gross revenue of $500,000 USD per year. If you expect to exceed this limit, you must contact us to enter into a licensing agreement at our discretion.

No Unlawful Use:

You must not use the Punk Royale Artwork in any way that is unlawful, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, offensive, or otherwise objectionable, or that infringes upon any laws, regulations, intellectual property rights, proprietary rights, or confidentiality obligations.

No Derivative Works:

You must not modify the Punk Royale Artwork or use individual elements separately from the complete work. Each individual layer is proprietary and remains the creation of Punk Royale.

Non-Competition:

You must not use your Punk Royale Artwork in a way that directly competes with Punk Royale or any of our projects.

Attribution:

If you use your Punk Royale Artwork for commercial purposes, you must attribute ownership to Punk Royale in a reasonable manner.

Transfer of Rights:

The rights granted to you are only applicable while you own your Punk Royale Ordinal Inscription. If you sell, trade, or give away your Punk Royale Ordinal Inscription, the rights associated with it pass to the new owner, who is then bound by these terms and conditions.

Not Intended as an Investment

Punk Royale is an art-focused project with a strong emphasis on community. We make no promises or guarantees regarding the value of your Punk Royale Artwork. The value of your Punk Royale Ordinal Inscription is determined solely by market forces and individual perception, which may be zero. Punk Royale is not intended to be an investment, and you understand that we are not responsible for any loss in value you may experience.

Your Punk Royale Ordinal Inscription is not a "security" as defined under any securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, or under the securities laws of any U.S. state or any other country.

No Guarantees

While we have plans to grow and support the Punk Royale community and may release additional benefits to our community members, any plans or statements about future events are not binding. Your purchase of a Punk Royale Ordinal Inscription does not guarantee you any future benefits beyond the rights outlined in the Rights section above.

Security

Owning and managing Ordinal Inscriptions involves risks, including the potential loss of your Punk Royale Ordinal Inscription due to cybersecurity threats or other factors. We take no responsibility for any loss of your Punk Royale Ordinal Inscription by any means. We strongly recommend that you take all necessary precautions to secure your Punk Royale Ordinal Inscription, including using secure wallets and following best practices for digital asset security.

Updates to the Terms and Conditions

We may revise and update these Terms and Conditions from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Punk Royale offerings thereafter. Your continued use of your Punk Royale Ordinal Inscription following the posting of revised Terms and Conditions means that you accept and agree to the changes.
